CORPORATE SECRETARY AND OTHER SERVICES:

According to the Section 474 of the Companies Ordinance (Cap. 622), every established company in Hong Kong (apart from non-Hong Kong company) must have a company secretary, either a natural person or a corporation. For an individual, such person should be ordinarily residing in Hong Kong, but the sole director of the company cannot act as the company secretary. For a body corporate, such company should be a licencee of the Trust or Company Service Provider (TCSP) and have a registered address or a place of business in Hong Kong.

1. ACTING AS THE CORPORATE SECRETARY OF THE COMPANY
1.1. Preparing and submitting the required forms to the Companies Registry.
1.2. Paying on your Company's behalf the government fees for the Annual Return and Business Registration Certificate provided that we receive funds from your company to settle the payments.
1.3. Keeping the record of Director(s) or Member(s), secretaries, charges, board resolutions passed by either Director(s) or Member(s) and transfer of shared.
1.4. Registering any changes in the Company and informing the Companies Registry in the required form.
1.5. Guarding safe custody of the corporate documents of the company.
1.6. Informing the Director(s) and Member(s) of the Company when the Annual General Meeting is due.
1.7. Issuing the share certificates as instructed by the Director(s).
2. PROVIDING YOUR COMPANY WITH A REGISTERED OFFICE
2.1. The registered address to be used in the Business Registration Certificate.
2.2. The address where all government communications and notices may be sent to.
3. ACTING AS THE DESIGNATED REPRESENTATIVE OF THE COMPANY
3.1. Assisting the law enforcement officers in case of an inspection.
3.2. Maintaining and keeping custody of the Significant Controllers Register at the registered address of the Company.
